Terms and Conditions for Using SchoolMate+ School Management System

Introduction

Welcome to SchoolMate+, a school management system provided by Plunkor Systems and IT Consultancy ("PlunkorSyS", "we", "our", or "us"). These Terms and Conditions ("Terms") govern the use of SchoolMate+ by subscribing schools ("Subscriber", "you", or "your"). By accessing or using SchoolMate+, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use SchoolMate+.

1. Subscription and Account

1.1 Eligibility: Only educational institutions that have subscribed to SchoolMate+ may use the Service.

1.2 Account Registration: To use SchoolMate+, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

1.3 Subscription Plans: SchoolMate+ offers different subscription plans. Details of each plan, including features and pricing, are available on our website. By selecting a subscription plan, you agree to pay the applicable subscription fees.

1.4 Payment: Subscription fees are billed annually. You agree to pay all fees in accordance with the terms set forth at the time of subscription. Fees are non-refundable except as required by law.

2. Use of SchoolMate+

2.1 License: Subject to your compliance with these Terms, PlunkorSyS grants you a limited, non-exclusive, non-transferable, revocable license to access and use SchoolMate+ for your educational institution's internal purposes.

2.2 User Conduct: You agree not to:

Use SchoolMate+ for any unlawful purpose or in violation of any applicable laws.
Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
Interfere with or disrupt SchoolMate+ or servers or networks connected to SchoolMate+.
Upload, post, or transmit any material that infringes any intellectual property or other proprietary rights of any party.

2.3 Content Ownership: You retain ownership of all content that you upload, post, or transmit to or through SchoolMate+. By making content available, you grant PlunkorSyS a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, copy, modify, create derivative works based upon, distribute, and display your content in connection with operating and providing SchoolMate+.

3. Privacy and Data Protection

3.1 Privacy: Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and disclose information about you when you use SchoolMate+. By using SchoolMate+, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

3.2 Data Security: We implement appropriate technical and organizational measures to protect your data. However, you acknowledge that no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

4. Intellectual Property

4.1 Ownership: PlunkorSyS retains all rights, title, and interest in and to SchoolMate+, including all related intellectual property rights. You acknowledge that SchoolMate+ is protected by copyright, trademark, and other laws of the Republic of Liberia and foreign countries.

4.2 Trademarks: The PlunkorSyS name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PlunkorSyS or its affiliates or licensors. You must not use such marks without the prior written permission of PlunkorSyS.

5. Disclaimers and Limitation of Liability

5.1 No Warranty: SchoolMate+ is provided on an "as is" and "as available" basis. PlunkorSyS disclaims all warranties, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, and non-infringement.

5.2 Limitation of Liability: In no event shall PlunkorSyS be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use SchoolMate+; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from SchoolMate+; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through SchoolMate+ by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through SchoolMate+; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.

6. Indemnification

You agree to indemnify, defend, and hold harmless PlunkorSyS and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees) that they may incur as a result of or arising from your use of SchoolMate+ or your violation of these Terms.

7. Termination

7.1 Termination by PlunkorSyS: PlunkorSyS may terminate your access to and use of SchoolMate+, at its sole discretion, at any time and without notice to you.

7.2 Termination by You: You may cancel your account and subscription at any time by contacting us at support@plunkorsys.com. Upon cancellation, you will not receive a refund for any unused portion of your subscription.

7.3 Effect of Termination: Upon any termination, discontinuation, or cancellation of the Service or your account, the following provisions will survive: Sections 2.3, 4, 5, 6, and 8.

8. Governing Law

These Terms and any action related thereto will be governed by and construed in accordance with the laws of the Republic of Liberia, without regard to its conflict of laws provisions.

9. Changes to Terms

PlunkorSyS reserves the right to modify these Terms at any time. If we make changes to these Terms, we will provide notice of such changes by posting the revised Terms on SchoolMate+ or by other means. Your continued use of SchoolMate+ following the posting of the revised Terms will constitute your acceptance of the changes.
